Terms of Service
Effective date: 1 May 2026
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Requent (Pty) Ltd ("Requent", "we", "us", or "our") governing your access to and use of the ReconAgent platform and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration
To access the Service you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at info@requent.co.za if you suspect unauthorised access.
3. Subscription and Payment
- Plans: The Service is offered on a subscription basis. Available plans, features, and pricing are described on our Pricing page and may be updated from time to time.
- Free Trial: New customers are eligible for a 30-day free trial with full access to the Service. A valid payment method may be required to start or continue your trial. At the end of the trial, continued use requires a paid subscription.
- Billing: Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
- Taxes: Prices are exclusive of VAT and any other applicable taxes, which will be added to your invoice where required by law.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial-period refunds are provided for monthly subscriptions.
- Non-payment: If payment fails and is not resolved within 7 days, we may suspend access to the Service until outstanding amounts are settled.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to process, store, or transmit unlawful, fraudulent, or deceptive financial information
- Attempt to gain unauthorised access to any system or network connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or otherwise commercialise the Service without our prior written consent
- Use the Service in a manner that disrupts, overloads, or impairs its infrastructure
- Upload or transmit malware, viruses, or any code designed to cause harm
5. Your Data
Ownership: You retain all rights to the financial data, documents, and information you upload to the Service ("Customer Data"). We do not claim ownership of your data.
Licence to Requent: You grant Requent a limited, non-exclusive licence to host, process, and use your Customer Data solely to provide the Service to you, as further described in our Privacy Policy.
Accuracy: You are responsible for ensuring the accuracy and completeness of the data you provide. Requent is not liable for errors or losses arising from inaccurate or incomplete Customer Data.
Export: You may export your Customer Data at any time via the account settings. Following account deletion, your account is locked for a 30-day grace period during which you can sign in and choose Restore to bring your account and data back (your subscription is cancelled immediately and restoring means resubscribing); if you take no action, your personal, AI and notification data is permanently deleted after that period, while accounting records (invoices, journals, payments, bank transactions and source documents) are retained for seven (7) years as required by South African law, hidden from everyone except authorised Requent staff and only where the law requires us to produce them. See our Account Deletion policy for the full detail.
6. Intellectual Property
The Service, including all software, algorithms, AI models, designs, trademarks, and content, is owned by Requent and protected by South African and international intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you. You receive only the limited right to use the Service during the term of your subscription.
7. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Service ("Confidential Information"). This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of these Terms for a period of three (3) years.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, REQUENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Service is a financial management tool and does not constitute professional accounting, tax, legal, or financial advice. Always consult a qualified professional for decisions based on your financial records.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REQUENT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO REQUENT IN THE 12 MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL REQUENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless Requent and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any applicable law or third-party rights.
11. Term and Termination
These Terms are effective from the date you first access the Service and continue until your subscription is cancelled or terminated.
We may suspend or terminate your access immediately if: (a) you materially breach these Terms; (b) you fail to pay subscription fees; or (c) we are required to do so by law. Upon termination, your right to access the Service ceases immediately.
12. Changes to Terms
We may revise these Terms from time to time. We will provide at least 14 days' advance notice of material changes via email or a prominent notice within the Service. Continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA), with the seat of arbitration in Johannesburg, South Africa.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Requent regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
